Under the agreement, Carlyle must divest the global polysulfides business of specialty chemicals company Nouryon, which is part of Carlyle’s investment portfolio.

The conditional agreement is intended to safeguard competition in aerospace sealants and in the market for polysulfides. Polysulfides are essential for manufacturing aerospace sealants.

BASF and Carlyle announced the transaction in October.

The deal values the coatings business at $8.9 billion. The division includes automotive OEM and refinish coatings as well as surface-treatment technologies.

BASF plans to retain a 40% stake in the business.

The new unit in Manitowoc will produce Heresite Protective Coatings technologies— a North American company specialized in industrial coatings for severe environments — whose assets were acquired by WEG in 2025. According to WEG, the operation strengthens the company’s coating business by incorporating high value-added solutions for critical applications such as HVAC, oil & gas, and water treatment, expanding WEG Coatings’ competitiveness in segments with higher technical requirements.

The new Distribution Center in Duluth expands the logistics structure of WEG’s Coatings Unit in the country, ensuring greater product availability, shorter delivery times, and proximity to key consumer hubs. It will serve as a strategic hub for the distribution of industrial coatings, anti-corrosive coatings, and solutions aimed at high-demand applications, directly supporting the commercial expansion of the operation in the United States.

These advanced resins include recycled PET, Wet IPA and other alternative feedstocks to improve resource efficiency and lower the carbon footprint compared with conventional petrochemical-derived resins.
